Terms of Service

These terms are an agreement between you and OakDeal ("we", "us"). They apply when you visit oakdeal.com or use the OakDeal app at app.oakdeal.com (the "Service"). If you use OakDeal for a business, you accept these terms on behalf of that business, and "you" means the business. If you do not agree, please do not use the Service.

1. The Service

OakDeal is a sales lead management tool. It brings leads from WhatsApp, a website and direct enquiries into one place, lets an AI assistant reply to leads using facts you provide, scores leads, schedules follow-ups and shows team numbers. Features may change as we improve the product. Channels marked "coming soon" are not yet available.

2. Accounts and workspaces

• You must be at least 18 and able to enter a binding contract.
• You sign in with a Google account and are responsible for keeping it secure.
• The person who creates a workspace is its first admin. Admins control who can join, what roles they have and the workspace's settings. You are responsible for everything done in your workspace.
• Tell us at once at support@oakdeal.com if you think someone has accessed your account without permission.

3. Your data

• You own the leads, messages, notes and other content you or your contacts put into OakDeal ("Your Data"). You give us permission to store, process and transmit Your Data only to run, secure and support the Service for you.
• For your contacts' personal data, you are the data fiduciary under India's Digital Personal Data Protection Act, 2023, and we process it on your behalf. You are responsible for having a lawful basis, including any consent needed, to message your contacts and to store their details.
• You can export your leads to CSV at any time.
• Our Privacy Policy explains how we handle personal data.

4. WhatsApp and other channels

• WhatsApp connects through Meta's official WhatsApp Business Platform. By connecting a number you also agree to Meta's WhatsApp Business terms and policies, including the WhatsApp Business Messaging Policy and Commerce Policy.
• You must only message people who have agreed to hear from you, use approved message templates where Meta requires them, and honour opt-outs. OakDeal stops automatic follow-ups when a contact replies STOP.
• Meta charges its own fees for some WhatsApp messages. These are billed by Meta (or as stated in your plan) and are separate from OakDeal's fees. Meta may limit, suspend or ban a number for policy breaches; we are not responsible for Meta's decisions.

5. AI replies

• The AI assistant writes replies from the business facts you give it and the conversation so far. AI can make mistakes. You are responsible for the facts you provide and for messages sent from your workspace, including AI replies.
• Keep your business facts accurate, list what the AI must never promise, and review conversations. You can take over any chat, or switch the AI off for a chat or a whole channel, at any time.
• Do not use the AI to give medical, legal or financial advice that needs a licensed professional.

6. Acceptable use

You agree not to use OakDeal to:

• send spam, bulk unsolicited messages, or messages to people who have opted out;
• sell or promote anything illegal, or anything banned by Meta's policies;
• harass, deceive, impersonate or defraud anyone;
• collect sensitive personal data such as health records, card numbers or passwords through chats;
• break the law, including India's IT Act, consumer protection and data protection laws;
• probe, overload or attack the Service, reverse engineer it, get around its limits or security, or access another workspace's data;
• resell the Service without our written permission.

We may suspend a workspace that breaks these rules, and will tell you why unless the law prevents it.

7. Plans and fees

• You can start using OakDeal free. Paid plans, usage limits and prices, when offered, will be shown before you choose them. Prices are in Indian rupees and exclude GST unless stated.
• Paid fees are charged in advance for each billing period and are not refundable except where the law requires or we say otherwise in writing.
• We will give at least 30 days' notice before changing the price of a plan you are on.
• Workspaces can set a monthly AI budget; when it is reached the AI stops replying until the next month or until you raise it.

8. Availability and support

We work to keep OakDeal available and fast, but we do not promise it will be uninterrupted or error-free. The Service depends on third parties such as Google Cloud, Meta and OpenAI. We may carry out maintenance, and will try to do it at quiet hours. Support is by email and WhatsApp at the contacts below.

9. Our intellectual property

OakDeal's software, design, name and logo belong to us. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback, we may use it without any obligation to you.

10. Ending your use

• You can stop using OakDeal at any time. Export your data first. Admins can ask us to delete the workspace and its data, which we do within 30 days.
• We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or if we stop offering the Service. Where we stop offering the Service, we will give you at least 30 days to export your data.

11. Disclaimer

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not promise any particular number of leads, sales or results.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim, or ₹5,000 if you have paid nothing. These limits do not apply to liability that cannot be limited by law.

13. Indemnity

You agree to defend and compensate us against claims from third parties (including your contacts and Meta) that arise from Your Data, the messages sent from your workspace, or your breach of these terms or the law.

14. Governing law and disputes

These terms are governed by the laws of India. We will first try to settle any dispute informally; write to us atsupport@oakdeal.com. If it is not settled within 30 days, it will be decided by the competent courts of India.

15. Changes to these terms

We may update these terms. We will post the new version here with a new date and, for significant changes, tell workspace admins in the app or by email at least 15 days before they apply. Continuing to use the Service after that means you accept the new terms.

16. General

If any part of these terms is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale of the business. These terms and the Privacy Policy are the whole agreement about the Service.
